1. About These Terms

Gj Style & Arts Pty Ltd (ABN 91 703 488 484), trading from Melbourne VIC, Australia, provides professional business and consulting services. These terms apply to all quotations, engagements, and services we provide, and to your use of this website. If any specific written engagement agreement is signed between you and us, that agreement will prevail over these terms to the extent of any inconsistency.

2. Our Services

The scope of services we provide for each engagement will be set out in a written quotation, proposal, or statement of work agreed between the parties. We will perform our services with reasonable care and skill, consistent with professional standards applicable to business and consulting work in Victoria, Australia.

Timelines and deliverables are estimates only unless expressly guaranteed in writing. You agree to provide us, in a timely manner, with the information, documents, and access we reasonably require to perform the services. Delays caused by incomplete or late information may affect delivery timelines.

3. Quotations and Engagement

Quotations issued by us are valid for 30 days from the date of issue unless otherwise stated in writing. Acceptance of a quotation, or instructions to commence work, constitutes acceptance of these Terms of Service. We may decline any engagement at our discretion.

4. Fees, Invoicing and Payment

Our fees are set out in the relevant quotation or engagement document. Unless otherwise agreed in writing, invoices are payable within 14 days of the invoice date by the payment method stated on the invoice. Where services are charged on an hourly or daily basis, time is recorded in reasonable increments and billed as actually expended.

Overdue amounts may accrue interest at the rate permitted under applicable law, and we may suspend work on an engagement where invoices remain unpaid after written notice. You are responsible for any taxes, duties, or government charges applicable to the services, other than income tax payable by us.

5. Australian Consumer Law

Nothing in these Terms of Service excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on you by the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)) or any other applicable law that cannot be excluded, restricted, or modified by agreement.

Our services come with guarantees that cannot be excluded under the Australian Consumer Law, including that services will be provided with due care and skill and will be reasonably fit for any purpose you have made known to us. If our services do not meet a consumer guarantee, you may be entitled to remedies including resupply of the services or, in some circumstances, a refund.

To the extent permitted by law, our liability for a failure to comply with a consumer guarantee is limited, where the goods or services are not of a kind ordinarily acquired for personal, domestic, or household use, to supplying the services again or paying the cost of having the services supplied again.

6. Limitation of Liability

To the fullest extent permitted by law, and subject always to Section 5 (Australian Consumer Law), we are not liable for any indirect, incidental, special, or consequential loss, including loss of profits, revenue, data, or business opportunity, arising from your use of this website or our services.

Where liability cannot be excluded, our total aggregate liability for any claim arising out of or in connection with an engagement is limited to the fees paid by you to us for the specific services giving rise to the claim in the three (3) months preceding the event giving rise to the liability.

7. Intellectual Property

All content on this website, including text, graphics, logos, and design, is owned by or licensed to Gj Style & Arts Pty Ltd and is protected by Australian and international copyright law. You may not reproduce, distribute, or modify website content without our prior written consent.

Unless otherwise agreed in writing, upon full payment of our fees, you receive a non-exclusive, non-transferable licence to use the deliverables we produce for your engagement for your internal business purposes. We retain ownership of our pre-existing methodologies, frameworks, templates, and know-how.

8. Confidentiality

Each party agrees to keep confidential all non-public information disclosed by the other party in connection with an engagement, and to use such information only for the purpose of performing the engagement. This obligation does not apply to information that is publicly available, independently developed, or required to be disclosed by law.

9. Website Use

You agree to use this website lawfully and not to attempt to gain unauthorised access to any part of the site, its servers, or related systems. Content on this website is general in nature and does not constitute professional advice for your specific circumstances. 10. Privacy

11. Suspension and Termination

Either party may terminate an engagement by providing fourteen (14) days' written notice, or immediately where the other party commits a material breach that is not remedied within seven (7) days of written notice. On termination, you remain liable for all fees for work performed up to the date of termination, and we will deliver completed work product to the extent paid for.

12. Force Majeure

We are not liable for delay or failure to perform our obligations where that delay or failure results from events beyond our reasonable control, including natural disasters, industrial action, government restrictions, or failures of third-party service providers.

13. Amendments

We may update these Terms of Service from time to time by publishing a revised version on this page. The version in force at the time you accept a quotation or engage our services will apply to that engagement.

14. Governing Law

These Terms of Service are governed by the laws of Victoria, Australia, and the parties submit to the non-exclusive jurisdiction of the courts of Victoria and the Commonwealth of Australia.
